This Beta User Agreement ("Beta Agreement") supplements and is incorporated into the Daedalus Terms of Service and Privacy Policy. It applies to individuals and shops who joined Daedalus through a personal beta invitation. In the event of any conflict between this Beta Agreement and the Terms of Service, this Beta Agreement controls.
What you receive: A perpetual, non-transferable license to access and use the Service at the Pro feature tier at no subscription fee. "Perpetual" means for the operational life of the Daedalus product — it is not contingent on continued payment and does not expire so long as your account remains in good standing and the Service continues to operate.
"In good standing" means your account has not violated the Terms of Service, engaged in abuse of the Service, or fraudulently represented your beta status. Daedalus may terminate this perpetual license with 30 days' written notice if a violation is not cured within that period.
Feature scope: "Pro tier" means the feature set available to Pro accounts at the time you signed up, and any standard Pro features added thereafter. If Daedalus introduces a distinct premium tier above Pro in the future, beta users retain the Pro tier at no charge; access to a higher tier would be priced separately and is not included here.
Acquisition and change of control: In the event Daedalus Automotive is acquired, merges, or undergoes a change of control, Daedalus will inform the acquiring entity of this commitment prior to closing. However, the acquiring entity is not automatically bound by it. If the acquiring entity does not honor this commitment, affected beta users will receive at least 90 days' advance written notice before any access change takes effect, and a complete, portable export of their data will be made available during that window.
Discontinuation: If Daedalus ceases operations, beta users will receive at least 90 days' advance notice and a complete data export. If circumstances prevent 90 days' notice, Daedalus will provide as much notice as possible and will make data export available immediately.
What perpetual access does not cover: Pass-through costs with their own variable billing (e.g., per-message SMS carrier fees, third-party parts catalog subscriptions). These, if any, would be disclosed before being charged.
You are using early-stage software. This means:
We maintain regular backups and will never intentionally delete your data without notice.
Anonymized, aggregated repair-outcome data (high-level vehicle and repair category information and the outcome — never names, VINs, or identifying information) is contributed to a shared pool that helps improve the Service for all users.
Short version: high-level vehicle and repair-category information plus outcome. Never: customer names, VINs, plates, shop identity, invoice amounts.
You can withdraw consent at any time — it does not affect your perpetual access. Anonymized data already contributed cannot be recalled individually because it contains no identifying information.
The Service during the beta period is provided "as is" and "as available." The warranty disclaimers and limitation of liability in Terms §§ 15–16 apply in full.
In using the beta, you may see unannounced features, pricing, or product plans. You agree to keep this information confidential and not to disclose it publicly or to competitors without our written permission. This obligation survives termination of your beta status.
Either party may terminate this Beta Agreement at any time. If we terminate your beta status for a Terms violation, your perpetual access license ends and your account may be transitioned to a paid tier or deactivated. You may export your data at any time before closing your account. Sections 4 (data already shared), 5, and 6 survive termination.
We may update this Beta Agreement as the product evolves. We will notify you by email before any material changes take effect. Continued use of the Service after that date constitutes acceptance.
